Welcome to Norven. These Terms of Service ("Terms") govern your access to and use of the Norven platform. By using Norven, you agree to be bound by these Terms. If you do not agree, do not use our service.
1. Acceptance of Terms
By creating an account, accessing, or using Norven, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into this agreement
- You are authorized to bind your organization to these Terms
- You have read and understood these Terms and our Privacy Policy
- Your use of Norven complies with all applicable laws and regulations
2. Description of Service
Norven is a B2B SaaS platform that enables organizations to digitize field inspections. Our service includes:
- Digital inspection forms and checklists
- Photo and video capture and storage
- Team collaboration and permission management
- Reporting and analytics tools
- Mobile and web access
- API access (on applicable plans)
We reserve the right to modify, suspend, or discontinue any feature or aspect of the service at any time, with or without notice.
3. Account Registration and Security
3.1 Account Creation
To use Norven, you must create an account by providing accurate and complete information. You agree to:
- Provide truthful and current information during registration
- Update your information promptly if it changes
- Maintain one account per user (no sharing credentials)
- Not create an account for anyone else without permission
3.2 Account Security
You are responsible for maintaining the security of your account and password. You agree to:
- Choose a strong, unique password
- Keep your login credentials confidential
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
Norven is not liable for any loss or damage resulting from your failure to protect your account credentials.
4. Acceptable Use
You agree to use Norven only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable laws, regulations, or third-party rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the service
- Use automated systems (bots, scrapers) without written permission
- Interfere with or disrupt the service or servers
- Remove or obscure any proprietary notices or branding
- Use the service to store or transmit illegal, harmful, or offensive content
- Resell or redistribute the service without authorization
- Use the service to compete with Norven or build similar products
We reserve the right to suspend or terminate accounts that violate these acceptable use policies.
5. Intellectual Property
5.1 Norven's Intellectual Property
Norven and its content (including software, design, text, graphics, logos, and trademarks) are owned by Norven and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the service for your internal business purposes only.
5.2 User Feedback
If you provide feedback, suggestions, or ideas about Norven, we may use them without any obligation to compensate you or keep them confidential.
6. Data Ownership and Usage
6.1 Your Data
You retain all ownership rights to your data. "Your data" includes all inspection reports, photos, videos, checklists, templates, notes, and any other content you upload or create using Norven.
6.2 License to Norven
You grant Norven a limited license to store, process, and display your data solely to provide and improve the service. We will not access your data except:
- To provide technical support when you request it
- To detect or prevent security or technical issues
- As required by law or court order
- With your explicit consent
6.3 Aggregated Data
We may use anonymized, aggregated data (which cannot identify you or your organization) for analytics, research, and service improvement.
7. Payment Terms
7.1 Subscription Plans
Norven offers various subscription plans with different features and usage limits. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice to existing customers.
7.2 Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. You agree to:
- Provide current, complete, and accurate billing information
- Update billing information promptly if it changes
- Authorize us to charge your payment method on each billing cycle
7.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged at the then-current rate unless you have a locked-in rate.
7.4 Failed Payments
If a payment fails, we will attempt to charge your payment method again. If payment cannot be processed within 7 days, we may suspend or downgrade your account until payment is received.
7.5 Taxes
All fees are exclusive of applicable taxes (VAT, sales tax, etc.), which will be added to your invoice as required by law.
8. Cancellation and Refunds
8.1 Cancellation by You
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of the period you have paid for.
8.2 No Refunds
We do not offer refunds for partial months or unused time on annual plans, except as required by law or at our sole discretion. If you cancel, you will not be charged for subsequent billing periods.
8.3 Termination by Norven
We reserve the right to suspend or terminate your account if:
- You violate these Terms or our acceptable use policies
- Your payment fails and is not resolved within 7 days
- Your use threatens the security or operation of our service
- Required by law or regulation
We will provide reasonable notice before termination, except in cases of serious violations or legal requirements.
8.4 Effect of Termination
Upon termination:
- Your access to the service will be revoked
- You will have 30 days to export your data before it is deleted
- We may delete your data after 30 days, except where retention is required by law
- Outstanding fees remain due and payable
9. Service Availability and Support
9.1 Uptime
We strive to maintain high availability of our service but do not guarantee uninterrupted access. The service is provided "as is" without warranty of uptime or performance, especially for free tier users.
9.2 Maintenance
We may perform scheduled maintenance that temporarily interrupts service. We will provide advance notice when possible but may perform emergency maintenance without notice.
9.3 Support
Support availability depends on your subscription plan:
- Free tier: Community support and documentation only
- Paid tiers: Email support with response times based on your plan
- Enterprise: Priority support with dedicated account management
10. Limitation of Liability
To the maximum extent permitted by law:
- Norven is provided "as is" without warranties of any kind, express or implied
- We do not warrant that the service will be error-free, secure, or uninterrupted
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability to you for any claims related to Norven is limited to the amount you paid us in the 12 months before the claim arose
- We are not liable for data loss (though we maintain regular backups, you should maintain your own backups)
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold Norven harmless from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use or misuse of the service
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your data or content uploaded to the service
12. Governing Law and Disputes
12.1 Governing Law
These Terms are governed by the laws of Spain and the European Union, without regard to conflict of law principles.
12.2 Jurisdiction
Any disputes arising from these Terms or your use of Norven will be subject to the exclusive jurisdiction of the courts in Spain.
12.3 Informal Resolution
Before filing any legal claim, you agree to contact us at hello@norven.io to attempt to resolve the dispute informally.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by:
- Posting the updated Terms on this page with a new "Last updated" date
- Sending an email to your registered email address
- Displaying a notice in the application
Changes become effective 30 days after notification, except for changes required by law which may be effective immediately. Your continued use of Norven after changes become effective constitutes acceptance of the new Terms.
If you do not agree to the updated Terms, you must stop using Norven and may cancel your account.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Norven.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
14.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, or internet/network failures.
